"We have not received any injunction or court order. United Group is not subject to any restrictions that would prevent it from conducting its business as it sees fit, and in the best interest of all shareholders, and it will not be hindered by Mr Solak's repeated attempts to disrupt progress through litigation and misleading media announcements. Under our management, the media assets within Adria News Network (which represents approximately 4% of United Group's EBITDA) are placed into an independent governance structure with a completely independent management structure and an independent Editorial Council. There has not been a single change in decision-making within our newsrooms," the statement notes.
As they added, United Group remains focused "on creating and delivering value for all its shareholders and on the strong operational momentum reflected in our recent results."
The founder and minority co-owner of United Group, Dragan Solak, and former Chief Executive Officer, Victoria Boklag, initiated legal proceedings against three entities controlled by the company BC Partners, intending to stop the sale of United Group's media business, which they believe is being conducted contrary to the Shareholders' Agreement.
As stated in the announcement, the legal protection sought by Solak and Boklag includes establishing that the sale of United Media represents a material change in the nature of United Group's business, as well as an injunction preventing such a sale from being carried out without their consent.
